CORPORATE GOVERNANCE

Basic-Fit is a responsible corporate citizen. MANAGEMENT STRUCTURE

An Annual Meeting of Shareholders must be held within six months after the end of each financial year. An Extraordinary Meeting of Shareholders shall be held as often as the Leadership Team or the Supervisory Board deems desirable. Once the agenda and the explanatory notes of the AGM will be published, they can be found here.

LEADERSHIP TEAM

Our Leadership Team is responsible for the day-to-day management of our company, which includes, formulating our strategies and policies and setting and achieving our objectives.

Chief Executive Officer (CEO)

(born 1963, Dutch) is our Chief Executive Officer (CEO) and Chairman of the Leadership Team. As a former professional tennis player who opened his first fitness club in 1984, Rene Moos has now gathered almost 40 years of experience in the fitness industry. "Basic-Fit's goal is to reach 3000-3500 clubs by 2030. Thanks to our high-value and affordable proposition, we are strongly positioned to benefit from the fitness momentum in Europe."

Chief Financial Officer (CFO)

(born 1958, Dutch) is our Chief Financial Officer (CFO) and a member of the Leadership Team. He has over 30 years of experience in accounting. Hans started his career as an accountant in the audit practice of BDO Accountants Advisors, where he was an audit partner from 2000 until 2011. Following this period, he was appointed CFO of Leisure Group Europe B.V., which position Hans held until he was appointed CFO of Basic-Fit in 2012. " As Europe’s largest and fastest growing fitness chain we are consistently breaking records while working with our 7000 employees across 6 European countries towards a more sustainable future."

Chief Commercial Officer (CCO)

(born 1988, Dutch) is our Chief Commercial Officer (CCO) and a member of the Leadership Team. Erica van Vonderen-Hahn joined the company as a brand manager in 2015 and has led the marketing department since 2016. Before joining Basic-Fit, Erica van Vonderen-Hahn worked at Struik Foods Europe and Koninklijke Verkade in several positions including those of brand manager and marketing manager. "We are a fan of people and we want to celebrate every step they take in making fitness a Basic in their lives. With 3.71 Million members in 6 European Countries, we are fulfilling our Basic-Fit mission of making fitness accessible to everyone, everywhere."

Chief Operating Officer (COO)

(born 1976, Belgian) is our Chief Operating Officer (COO) and a member of the Leadership Team. Redouane Zekkri has been working in the fitness industry for more than 15 years and joined the company in 2008. Within Basic-Fit Redouane was active in several management roles, amongst others Country Manager for Belgium & Luxemburg, Managing Director in France, and most recently International Strategy & Expansion Director. "Our Basic-Fit community has grown expansively over the last few years. As the market leader, with 1,160 clubs and 3.15 million members, Basic-Fit is the largest fitness chain in Europe, that aims to provide affordable, innovative, and high-quality fitness that is available to everyone, anytime, anywhere, and in their own way."

SUPERVISORY BOARD

Our Supervisory Board supervises and advises the Leadership Team. Each member of our Leadership Team and Supervisory Board owes a duty to us to properly perform the duties assigned to such members and to act in our corporate interest.

Chairman

Previously: JP Morgan and Morgan Stanley. He gained valuable boardroom and corporate governance experience at NIBC and Rabobank. At the latter, he was a member of the Managing Board between 2014 and 2020. Currently: Jan holds non-executive roles as Chairman of the Supervisory Board of ForFarmers (listed on Euronext Amsterdam) and Wealth Management Partners, and as a member of the Board of Trustees of Leids Universiteits Fonds.

Carin-Gorter
Vice-chairman and chairman of the Audit & Risk Committee since 2016

Previously: Senior Executive Vice President Group Compliance, Legal & Security at ABN AMRO Member of several supervisory boards. Currently: Member of the Supervisory Board Coöperatie TVM U.A Member of the Supervisory Board of TKH Group N.V. External member of the audit committee of the Dutch Ministry of Justice and Security Member of the Supervisory Board of DAS Holding N.V. Member of the Supervisory Board of Nederlandse Transplantatie Stichting Member of the Supervisory Board of Ebusco Holding N.V. (as per 26 October 2021). Education: Chartered Accountant. Master’s degree in Business Economics.

Chairman of the Selection, Appointment & Remuneration Committee since 2016

Previously: Extensive international executive experience (Quaker Oats, AkzoOrganon, Sheaffer Pen, Prince/Benetton Sports Group, Life Fitness and Octane Fitness), with over 25 years in the fitness industry Supervisory Board member of SATS and Activage in Sweden Co-Founder and board member EuropeActive in Brussels, Belgium. Currently: Ambassador of EuropeActive (European trade association for the health & fitness industry) International Ambassador for Reed Exhibitions/FIBO in Germany Advisor Wellness Foundation, Italy Co-author of the European Health & Fitness Market Report; contributor to several books on the fitness sector. Education Bachelor’s degree in Business Administration from Hogere Textielschool, Enschede, the Netherlands.

Previously: Several positions at ABN AMRO, mainly in the financial restructuring and recovery department Member of the management team and credit committee at Hollandse Bank Unie (a former ABN AMRO subsidiary). Currently: Managing partner at Craic Capital, a corporate finance and investment boutique founded and owned by Hans Willemse in 2008. Education: Master’s degree in Dutch Civil Law from Leiden University, the Netherlands.

Previously: Joëlle co-founded Improve Digital, a global advertising technology marketplace that disrupted the advertising industry, which was eventually sold to Swisscom in 2016. Before this, Joëlle held several international management roles at companies such as Microsoft. Currently: Joëlle is co-founder of Inspiring Fifty, a non-profit to bring about positive change in female leadership numbers in the high-growth technology industry. Joelle is Supervisory Boardmember of CM.com (listed on Euronext Amsterdam), TABS (a HAL investment), HighTechXL and LeQuest and Advisory Board member at The Cronos Group.

President of the Board of foundation Hamarpa (MBI Group). Education: Bachelor’s degree in Business Administration SVM Real Estate Broker.
